- Set the legal strategy, goals and objectives in alignment with business strategies and global/regional legal goals.
- Advise senior management on a variety of complex legal issues that would impact the businesses.
- Oversee delivery of legal services to ensure alignment with business strategies, priorities and goals.
- Develop and manage annual legal, compliance & enterprise risk management budget.
- Select and retain appropriate outside counsel, as required, to obtain legal opinions or to handle complex legal matters or matters that require outside counsel assistance eg litigation, labour disputes.
- Formulate & lead initiatives for improvement in BSIN in the management of legal, compliance and enterprise risk management areas, including identifying gaps or improvement areas and proposing best practice approaches, solutions, templates etc.
- To coordinate, supervise and monitor the handling of company's legal disputes and litigation to ensure each of legal disputes can be settled with minimum effect to BSIN (scope of disputes including but not limited to commercial sales, operational and labor/ industrial relation).
- To provide necessary legal support to HR-ER in handling industrial relation and labor issues, including negotiation of collective labour agreement, industrial relations disputes and litigations
- To monitor and ensure the fulfillment of required business licenses and permits for the company to perform its business and operational activities to ensure compliance with applicable law and regulations.
- Draft, negotiate and advise on a variety of commercial transactions & agreements including but not limited to sales, distribution, dealerships, TOMO, partnerships, supply chain, logistics, manufacturing, sustainability etc
- Ensure that effective and appropriate policies and procedures are in place to assure business operations comply with applicable regulatory, contractual and legal requirements.
- Assess the businesses' operations and strategies to identify potential risks and collaborate with all functions to ensure that risk controls and mitigation plans are adequately carried out
- Proactively lead and contribute to the development, implementation and continuous improvement of an effective system of corporate governance & enterprise risk management
- Lead the execution, implementation and change management requirements of global ERM (including business continuity and crisis management) mandates in Indonesia
- As part of ERM, facilitate and support the business to identify, assess, mitigate, monitor and respond to significant local risks that could impact the company's ability to achieve its strategic and performance objectives.
- Facilitate and support all regional/global ERM (including crisis management & business continuity management) initiatives/requirements in Indonesia
- Ensure senior management is informed of regulatory and legislative changes and their obligations under these changes and how they impact the company.
- Provide training and education to teammates at every level on compliance related topics to enhance compliance awareness within the organizations
- Conduct periodic reviews to ensure that compliance policies and procedures are regularly followed.
- Oversee internal reporting systems, including BridgeLine and ensure that all compliance related concerns are properly and timely addressed.
- Leading, supporting and/or guiding ethics and compliance related investigations
- Providing support and advice in corporate secretarial, corporate governance, contract & legal documents management, business license & permit monitoring, intellectual property, etc
- Legal disputes & litigation management
- Draft, negotiate and advise on a variety of commercial transactions including but not limited to sales, partnerships, supply chain, logistics, sustainability etc
- Managing and supporting land rights related issues eg renewals, liaising with government agencies, community challenges, dispute resolution etc
- Minimum Bachelor or Master's degree in law from reputable university.
- Preferably called to the local Bar or that of another jurisdiction
- Minimum of >10 years of experience with at least 5 years people management experience in a similar position in a multi-national company, preferably within the manufacturing or automotive industry and/or reputable law firm.
- Strong knowledge and experience in Indonesia corporate and commercial law, including company law, foreign investment, employment, competition law, import/export, consumer protection, sales & distribution, supply chain and intellectual property.
- Strong experience in handling corporate dispute, employment and labor union issues and industrial relation disputes and court litigation.
- Having business sense and willing to understand the business process and goals.
- Solid experience is managing Compliance related matters (ranging from drafting and implementing policies, conducting training and complex compliance investigations) essential
- Excellent level of ethics & integrity.
- Strong managerial and leadership skills with effective problem solving and decision-making.
- Excellent communication, inter-personal skills and being a strategic business partner to the business.
- Being hands on when required is mandatory.
- Excellent drafting and negotiating skills; superior analytical ability and a strong general commercial background, creativity, vision, sound judgement in developing and implementing legal solutions and responding to trends in the law.
